Incorporating a company is the start of its compliance life, not the end. The first year brings a handful of one-time tasks and the first set of annual filings. Here is a plain-English checklist.

In the first 30 days

  • First board meeting — within 30 days of incorporation.
  • First statutory auditor — appointed by the board within 30 days.
  • Share certificates issued to the subscribers, and statutory registers set up.

Within 180 days

Companies with share capital must file Form INC-20A, the declaration of commencement of business, after the subscribers have paid for their shares. The company should not start business or borrow before this is filed.

Around the first AGM

The first Annual General Meeting must be held within nine months of the end of the company's first financial year. After it, three filings follow:

  • ADT-1 — auditor appointment, within 15 days of the AGM.
  • AOC-4 — financial statements, within 30 days of the AGM.
  • MGT-7 / MGT-7A — annual return, within 60 days of the AGM (MGT-7A for small companies and OPCs).

Throughout the year

  • Board meetings — at least four a year for most companies, no more than 120 days apart (small companies and OPCs have a lighter rule).
  • Director disclosures (MBP-1 and DIR-8) at the first board meeting of each financial year.
  • DPT-3 by 30 June if the company has taken loans or deposits.
