Every individual who holds a Director Identification Number (DIN) must keep their KYC details up to date with the Ministry of Corporate Affairs. For years this meant an annual DIR-3 KYC filing by 30 September. That has changed.

What changed

The Companies (Appointment and Qualification of Directors) Amendment Rules, 2025, effective from 31 March 2026, replaced the annual requirement with a three-year cycle:

  • DIR-3 KYC is now required once every three consecutive financial years, not every year.
  • The due date moved from 30 September to 30 June of the year following the third financial year.
  • The earlier e-form and web service have been merged into a single Form DIR-3 KYC Web.

What still triggers an early filing

If your mobile number, email address or residential address changes, you must update it through DIR-3 KYC Web within 30 days of the change — you cannot wait for your three-year date. Updating details mid-cycle does not reset the cycle.

What happens if you miss it

A DIN whose KYC is not filed on time is marked as deactivated. A director with a deactivated DIN cannot sign MCA filings or be appointed until the DIN is reactivated, which requires filing DIR-3 KYC Web with a late fee of ₹5,000.

What directors should do now

  • Confirm which financial year your current three-year cycle is counted from.
  • Note your next 30 June due date in your compliance calendar.
  • Update any change in contact details within 30 days.
